Links to Standard Contracts
The following are links to University-approved standard contracts that can be used/adapted for your particular purposes, including information on the departments most often responsible for transactions involving their use.
You should consider using the Confidential Information Agreement whenever the University must disclose information that is protected by law (such as personally identifiable information regulated by FERPA, HIPAA or other privacy requirements) or is otherwise confidential or not publicly available and the underlying contract does not provide the University with adequate protection. If you have any questions about the use of this agreement, please contact the Office of the General Counsel.
The Entertainment Agreement can be used whenever the University engages an individual or a business to provide entertainment services, including musicians, bands, DJs and other performers. Several different responsible departments may recommend the use of this agreement, including the Purchasing Department, the Office of the Dean of Undergraduate Students, and University Services. If you have any questions about the insurance requirements, please contact the Risk Management Department.
The Princeton University General Terms and Conditions is used for most transactions involving the purchase of goods as well as for some services transactions. The Purchasing Department is responsible for most transactions involving the use of this document. If you have any questions about the insurance requirements, please contact the Risk Management Department.
The Independent Contractor Agreement can be used for most transactions in which the University engages an individual or a business to provide services. While several different responsible departments may recommend the use of this agreement, the Purchasing Department is generally responsible for transactions involving its use. If you have any questions about the insurance requirements, please contact the Risk Management Department.
The License Agreement is designed for the limited engagement of photographers, writers, illustrators and other freelance artists to create works that the University seeks to use, copy and display. It may also be used when the University seeks permission to use, copy and display existing works. (This agreement is an alternative to the Works Made for Hire Agreement in situations where the creator of the work will not grant full copyright ownership to the University.) This agreement should not be used for engagements that do not involve the creation of works or engagements that pose a material risk of physical injury or property damage. Under these circumstances, you should consider using the Independent Contractor Agreement. If you have any questions about the use of the License Agreement, please contact the Office of Communications.
The Limited Engagement Agreement can be used in limited circumstances to engage a speaker, guest lecturer, performer or other individual at a nominal expense to the University. It can be used only for one-time or short-term engagements of an academic nature, which are presented to the University community and which do not pose a material risk of physical injury or property damage. For other engagements of speakers, guest lecturers, or performers, please use the Speaker Agreement or the Entertainment Agreement, as appropriate. Note that the Limited Engagement Agreement cannot be used to hire any individual into a Dean of the Faculty position.
The Recording Release and License permits the University to make audio and/or visual recordings of a speaker or performer. This document is often used in conjunction with the Entertainment Agreement, the Speaker Agreement and the Limited Engagement Agreement. If you have any questions about the use of this document, please contact the Office of Communications. Some departments use customized versions of this document that may be applicable. If you have any questions about a customized version, please contact a communications representative.
Speaker Agreement
Speaker Agreement
The Speaker Agreement can be used whenever the University engages an individual or a business to give a speech or a lecture or provide similar services beyond the scope of the Limited Engagement Agreement. Several different responsible departments may recommend the use of this agreement, including the Purchasing Department, the Office of the Dean of Undergraduate Students, and University Services. If you have any questions about the insurance requirements, please contact the Risk Management Department. Note that the Speaker Agreement cannot be used to hire any individual into a Dean of the Faculty position.
The Works Made for Hire Agreement is designed for the limited engagement of photographers, writers, illustrators and other freelance artists to create works in which the University seeks full ownership, including all copyrights. (In situations where the creator of the works will not grant full copyright ownership to the University you should consider using the License Agreement.) The Works Made for Hire Agreement should not be used for engagements that do not involve the creation of works or engagements that pose a material risk of physical injury or property damage. Under these circumstances, you should consider using the Independent Contractor Agreement. If you have any questions about the use of the Works Made for Hire Agreement, please contact the Office of Communications.
